1. Acceptance of Terms

By accessing or using nexorbiolabs.com (the "Site") or placing any order with Nexor BioLabs ("we," "us," "our," "Nexor"), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, do not use the Site or place any orders.

2. Research-Use Acknowledgment

All products sold by Nexor BioLabs are research compounds intended exclusively for laboratory and scientific research purposes. By placing an order, you affirm and acknowledge:

• You are at least 21 years of age
• You are a qualified researcher, laboratory professional, or otherwise authorized to handle research chemicals in your jurisdiction
• You will not use, administer, or permit the use of any product for human or veterinary consumption, therapeutic use, diagnostic use, or any application other than legitimate scientific research
• You will not resell, redistribute, or transfer products to any party who has not made the same acknowledgments
• You take full responsibility for the proper, safe, and lawful handling, storage, use, and disposal of all products
• You agree to comply with all applicable federal, state, local, and international laws and regulations governing research compounds in your jurisdiction

3. Eligibility & Account

You may not place orders if you are under 21 years of age, located in a jurisdiction where receipt of research compounds is restricted, or if you intend to use products for any unauthorized purpose. We reserve the right to refuse service or cancel any order at our sole discretion, including without limitation on suspicion of intended human use.

4. Orders & Acceptance

All orders placed through the Site are offers to purchase, subject to acceptance by Nexor BioLabs. We reserve the right to:

• Refuse, limit, or cancel any order at our sole discretion
• Verify customer identity, research credentials, or ship-to address before processing
• Request additional information for orders we deem high-risk
• Cancel orders due to inventory limitations, pricing errors, or operational issues

An order is not considered accepted until payment is confirmed and shipment is initiated.

5. Pricing & Payment

Prices are listed in U.S. dollars and may change at any time without notice. Wholesale tier pricing is available only to verified accounts with a valid access code. We accept payment via wire transfer, Zelle, and select cryptocurrencies (BTC, ETH, USDT). Payment instructions will be provided after order confirmation.

All sales are final upon payment confirmation. Disputed transactions, chargebacks, or fraudulent payment activity will result in account termination and may be reported to appropriate authorities.

7. No Returns; Limited Refunds

Please review our Returns & Refunds Policy. In summary: all sales are final. Refunds or store credit may be considered only in cases of demonstrable cold-chain failure or shipping damage, reported within 24 hours of delivery with photographic evidence.

8. Intellectual Property

All content on nexorbiolabs.com — including but not limited to logos, product names, text, images, layouts, and brand identifiers — is the property of Nexor BioLabs or its licensors. You may not reproduce, distribute, modify, or create derivative works without express written permission.

9. Disclaimers & Limitation of Liability

Please review our full Disclaimer page. In summary: products are provided "AS IS" without warranties of any kind. Nexor BioLabs is not liable for any damages arising from product use, misuse, storage, handling, or any consequence thereof.

10. Indemnification

You agree to indemnify, defend, and hold harmless Nexor BioLabs, its officers, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of any product, your breach of these Terms, or your violation of any law.

11. Dispute Resolution

Any dispute arising from these Terms or your purchase shall first be addressed through good-faith negotiation by emailing sales@nexorbiolabs.com. Disputes that cannot be resolved through negotiation shall be settled through binding arbitration. You waive any right to participate in class action lawsuits or class-wide arbitration.

12. Modifications to Terms

We may update these Terms at any time. Changes are effective when posted to the Site. Continued use of the Site or placement of further orders constitutes acceptance of any modifications.

13. Governing Law

These Terms are governed by the laws of the United States without regard to conflict-of-law principles. International customers acknowledge that they are responsible for compliance with their own local laws.
